Terms of Service

This Terms of Service Agreement ("Agreement") is between you ("Customer", "you") and twofutures Pty Ltd ("we", "us", "our", or "twofutures"), the provider of the Minima content management system and associated services ("Service").
By accessing, using , or signing up for the Service, you agree to be bound by the terms of this Agreement.
If you do not agree to these terms, you must not access or use the Service.
Please read this Agreement carefully.
Phrases
To keep this Agreement readable and consistent, here's what we mean by certain terms:
Service refers to the Minima platform, APIs, dashboard, hosted content tools, infrastructure, and any other services we provide.
Site or Sites refers to any website, blog, publication, or digital product you create, host, or manage using the Service.
Account means your registered access to the Service, including associated terms, users, and projects.
Content means any material submitted, published, stored, or transmitted using the Service. This includes but is not limited to text, images, documents, videos, code, configuration files, and data
Feedback includes comments, suggestions, feature ideas, or bug reports submitted to us by you or your users.
Free Tier refers to a no-cost plan offered by us with limited access to features or usage.
Beta Features are experimental or preview features that may be made available temporarily or without charge, often for testing or feedback purposes.
Your Account
You must provide accurate information when creating your account.
You are responsible for keeping your login credentials secure.
Any activity on your account is your responsibility unless caused by a breach on our end.
Your Content
You retain ownership of the content you upload ("Content").
You grant Minima a limited license to store, display, and process your Content to provide the Service.
You are responsible for ensuring your Content:
does not infringe on third-party rights,
is not illegal or abusive,
does not contain pornography or exploitative material.
We reserve the right to remove or restrict access to any Content that violates these Terms.
Platform Use
You agree not to misuse the Service. Prohibited activities include but are not limited to:
Attempting to access or modify systems without authorization
Hosting or transmitting malware, phishing content, or spam
Interfering with the security or performance of the Service
Reverse engineering, decompiling, or copying parts of the Service for unauthorized use
We reserve the right to suspend or terminate your access if you violate these guidelines.
Availability
We strive for high availability and performance, but we do not guarantee uninterrupted or error-free operation of the Service.
You acknowledge that factors beyond our control, including your DNS settings, domain configuration, or third-party services, may affect the availability of your Sites. You are solely responsible for configuring and maintaining your DNS and domain settings correctly.
For customers with Enterprise agreements, uptime guarantees may be specified separately.
Billing and Payment
We aim to keep Minima affordable and sustainable for all customers. To do that, we rely on automation and clear policies around billing, usage, and payment. The following terms help us operate the platform efficiently and avoid absorbing third-party infrastructure costs on your behalf.
Plans and Pricing
The service is offered through free and paid plans. Each plan has specific features and usage limits. We may change pricing with reasonable notice.
Free Tier
If you are on a Free Tier, your access to the Service may be limited in scope, usage, performance, or support. Free plans are provided at our discretion and may be modified, restricted, or discontinued at any time, with or without notice.
Free Tier accounts are offered "as is" and without warranty. We reserve the right to suspend or terminate Free Tier accounts for any reason.
Usage and Overages
Some plans may include usage-based components (such as storage, or third-party API calls). If you exceed your usage limits, overage fees may apply.
Upgrades and Downgrades
You can change plans at any time. Upgrades take effect immediately and may be billed on a prorated basis. Downgrades take effect at the end of your current billing cycle. However, if you are actively using features or resources that exceed the limits of the lower-tier plan (e.g., storage, collaborators, API usage), your downgrade may be restricted until your usage is brought within the limits of the intended plan.
Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis. Usage-based charges may be billed in advance or in arrears, depending on the feature. You authorize us to charge your payment method automatically for each billing cycle and for any usage-based fees as they are incurred.
Failed Payments
If your payment method fails, we may suspend or restrict access to your account at any time, with or without notice. We are not obligated to retry failed payments, preserve access, or retain any data associated with non-paying accounts. If payment remains outstanding, we may permanently delete your data and terminate your account at our discretion.
No refunds
All fees are non-refundable, including unused portions of subscription periods, feature limits, or prepaid usage. You acknowledge that we cannot and will not refund you for third-party platform costs, including non-recoverable usage fees we pass through to you.
Failed Payments
If a payment fails, we may attempt to retry. If unresolved, we may suspend your access.
Termination
By You
You may cancel your account at any time via your dashboard. Your account will remain active until the end of your billing period, and no refunds will be provided. After the end of your billing period, we may permanently delete your content.
By Us
We may suspend or terminate your account at our discretion for any reason, including but not limited to:
Violation of these Terms
Suspected fraud or abuse
Failure to pay
Misuse of the Service or risk to system integrity
Where practical, we will provide prior notice and an opportunity to remedy the issue before termination.
Effects of Termination
Termination ends your right to access the Service and your Content may be deleted. We are not liable for any resulting loss. Outstanding fees remain payable.
Post-Termination Access
We are not obligated to retain your data after termination or cancellation of your account. At our sole discretion, we may retain backup copies of your data for up to 30 days, but make no guarantees regarding availability, integrity, or completeness.
You are solely responsible for exporting or backing up your data prior to terminating your account. We do not provide export assistance for Free Tier accounts. Export tools or support may only be available to paying customers or under a separate Enterprise agreement.
After the retention period (if any), your data may be permanently and irreversibly deleted, unless we are required to retain it by law or by a separate written agreement.
Surviving Clauses
Sections on Billing, Content, Intellectual Property, Feedback, Data, and Governing Law survive termination.
Intellectual Property
All intellectual property rights in and to the Service, including but not limited to the underlying software, code, algorithms, functionality, user interface, design, documentation, visual elements, branding, and all related technology, are and remain the exclusive property of twofutures or its licensors.
Nothing in this Agreement grants you ownership of or rights our intellectual property, except for the limited right to use the Service in accordance with these Terms.
You may not:
Copy, modify, or create derivative works based on the Service or any part of it
Reverse engineer, decompile, or attempt to extract the source code of the Service
Frame, mirror, or embed the Service in other applications without authorization
We reserve all rights not expressly granted under these Terms.
This section does not affect your rights to your own Content as defined in the "Your Content" section.
Feedback
If you provide any feedback, suggestions, ideas, comments, or other input related to the Service (collectively, "Feedback"), you grant us a perpetual, irrevocable, royalty-free, fully paid-up, worldwide, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display that Feedback in any form, media, or technology, whether now known or developed in the future, for any purpose related to the development, improvement, marketing, or operation of the Service.
You waive any moral rights or rights of attribution you may have in that Feedback, to the extent permitted by applicable law.
No Warranties
The Service is provided "as is" and without any warranties, express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement.
Nothing in this agreement excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified.
Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, punitive, or consequential damages, including lost data or profits, even if we’ve been advised of the possibility.
Our total liability under these Terms shall not exceed the amount paid by you to us in the 3 months preceding the event giving rise to the claim.
Governing Law
These Terms are governed by the laws of Victoria, Australia. Any legal action related to the Service must be brought in the courts of that jurisdiction.
Changes to Terms
We may update these Terms periodically. We'll notify you of material changes via email or dashboard notice.
By continuing to use the Service after changes take effect, you agree to the updated Terms.
